ChiBio Informatics Limited: Standard Terms of Business

In return for access to David Parry-Smith's extensive management and informatics experience, ChiBio Informatics Limited expects fair reward. This page sets out the standard terms for bioinformatics consulting and management consulting with David Parry-Smith as provided by ChiBio Informatics Limited. A specimen consultancy agreement is available to bona fide enquirers. This page is not a legal document but merely sets down some facts that clients may wish to know before they contact David for consultancy.

Consulting is David's profession. He does not consult for free!

There is a great deal of information on this website and elsewhere on the Internet that helps you to know what kind of consulting David Parry-Smith can provide. If you are still not sure, call ChiBio by phone and check before arranging a face to face meeting as all meetings are chargeable. If no other arrangement has been agreed in writing with ChiBio, meetings with David Parry-Smith are charged at the Ad Hoc consultancy rate. As at 1 October 2009 the ChiBio Ad Hoc Consultancy rate is £2000 per day.

Retained consulting is typically 60-75% cheaper than Ad Hoc consulting.

It is much more cost effective to agree with ChiBio a retained consulting period (minimum 3 months) in which we agree a period of time and appropriate fee for exploratory meetings. ChiBio requires a 50% payment on signature and 50% at the midpoint of the agreement. This ensures that David is properly compensated for the time and effort he expends in discussing client projects.

Fixed price projects are normally the lowest cost option.

Any projects arising from the retained consulting arrangement will be quoted for separately by ChiBio, including project scope, goals, timeframes, special terms of confidential disclosure and so forth. Again, a contract signing fee is required plus agreed stage payments.

Consider these two scenarios...

Example scenario 1: Client wishes to enter into discussions to determine the feasibility of developing a whole blood assay for a specific protein marker. Client is not yet committed to the project but needs to develop a business plan for board approval. Client requests a retained consulting agreement with ChiBio for David Parry-Smith's consulting services for a period of 6 months. David's CV indicates that he has specific experience in this area with previous companies. A fee of £6000 is agreed for the retained services, along with an appropriate consulting agreement. £3000 is paid by client to ChiBio on signature of the agreement. Exploratory meetings are scheduled during the period and ideas for the development of a business plan are discussed.

It becomes clear that there is insufficient available client resource to create a detailed business plan for the board and ChiBio quotes for a 3 month project to write the plan and provide supporting data from the literature. ChiBio quotes £7500 for the work and agrees terms with the client. It is agreed to pay ChiBio monthly in advance installments of £2500 per month.

Compared to the Ad Hoc consulting rate, the agreed terms are much more advantageous to the client and provide at least some certainty for ChiBio (i.e. David Parry-Smith). During the retained period in the scenario, 2 days a month of consulting are provided - including some preparation time. This is roughy £500 per day (one quarter of the Ad Hoc rate).

For the additional agreement, resource of 2 days work per week for the 3 month project has been agreed in the scenario. That is, 26 days which works out at about £290 per day.

Example scenario 2: A client requires a visualisation solution for an in-house database and holds several preliminary discussions with David but then decides to carry out the work discussed in house. No retained consulting has been agreed and therefore according to its standard terms of business, ChiBio invoices client for 2 days of Ad Hoc consulting (£4000). In fact, as it turns out, internal resources are overstretched and the project never sees the light of day. It could have been completed within 4 months under a retained agreement with ChiBio (perhaps faster under an Express Consulting Agreement but at additional cost).

ChiBio welcomes committed consulting partners.

ChiBio is serious about engaging with clients in a professional and committed manner. One-off, piecemeal consultancy days are expensive for clients because they are expensive for ChiBio. Conversely, evidence that a client is committed to working on a project with David Parry-Smith results in lower costs and a fruitful scientific and business relationship.

ChiBio Informatics Limited is not currently VAT registered.
